Choosing and checking an LLC name
A name has to satisfy the state before it will accept the filing, and ideally it should not walk into someone else's trademark.
State naming rules
The specifics vary, but nearly every state applies the same three tests.
- It must include an LLC designator, such as LLC, L.L.C. or Limited Liability Company
- It must be distinguishable from names already on the state register
- It must avoid restricted words. Terms suggesting banking, insurance or government links usually need approval or a licence
Search before you commit
Check the state business register first, then federal trademarks, then the domain and social handles. A name that clears the state can still be blocked commercially by an existing trademark.
State approval is not trademark clearance. The two systems are separate and a state will happily register a name that infringes a mark.
Trading under a different name
If you want to trade under something other than your registered name, most states let you file a DBA, also called an assumed or fictitious name. The legal entity name stays the same on contracts and filings.
