Terms of Service

These Terms govern your access to and use of the websites, portals and professional filing services operated by Gullia Filing LLC ("Gullia Filing", "we", "us" or "our"). Please read them carefully. They set out important consumer protections, refund rules, client obligations and dispute-resolution mechanics.

1. Acceptance of Terms

By creating an account, placing an order, or using any service or content provided by Gullia Filing (collectively, the "Services"), you agree to be bound by these Terms, our Privacy Policy, and any additional order forms, statements of work or jurisdiction-specific addenda referenced at checkout. If you are using the Services on behalf of a company, partnership or other entity, you represent that you are authorised to bind that entity to these Terms.

2. Definitions

  • "Client" means the individual or entity that purchases or uses the Services.
  • "Filing" means any application, registration, return, notice or document submitted to a Government Authority on your behalf.
  • "Government Authority" means any secretary of state, tax authority, freezone regulator, corporate registry, or equivalent body.
  • "Licensed Partner" means an independent, locally licensed commercial registered agent, corporate service provider, notary, tax agent or freezone agent engaged by us to execute your Filing.
  • "Service Fee" means Gullia Filing's professional fee. "Government Fee" or "Third-Party Fee" means pass-through charges imposed by a Government Authority or third-party vendor.

3. Eligibility & Account Registration

You must be at least 18 years old and legally able to enter into a binding contract. You agree to provide accurate, current and complete information during registration and to keep that information up to date. You are responsible for all activity that occurs under your account, including the security of your credentials and any device used to access the Services.

4. Description of Services

Gullia Filing provides business formation, registered agent, annual compliance, tax and accounting, virtual office, EIN and tax ID, beneficial ownership reporting, and related administrative filing services in the United States, United Kingdom, Canada and the United Arab Emirates. Specific deliverables, turnaround times, jurisdictions and inclusions are described on the relevant product page and confirmed in your order.

5. Our Role: Filing Intermediary, Not a Law Firm

Gullia Filing is not a law firm, accounting firm, tax advisor or licensed broker and does not provide legal, tax, immigration or financial advice. Our filing specialists execute the instructions you give us and prepare paperwork based on the information you provide. Use of the Services does not create an attorney-client, accountant-client or fiduciary relationship. For advice specific to your situation, consult a qualified professional in the relevant jurisdiction.

6. Licensed Partners & Registered Agents

To operate lawfully in each jurisdiction, Gullia Filing engages independent Licensed Partners (including licensed commercial registered agents in every US state we serve, ACRA/HMRC agents in the UK, CRA-authorised representatives in Canada, and approved corporate service providers in the DIFC, ADGM and UAE freezones). Where a Licensed Partner is involved, your Filing is subject to that partner's onboarding, KYC, acceptable-use and licensing policies in addition to these Terms. You authorise Gullia Filing to share the personal and business information required to onboard you with the relevant Licensed Partner. If a Licensed Partner declines to accept, license or renew a matter, we will refund any unearned Service Fee under Section 12 and cooperate with an orderly transfer to another provider you nominate.

7. Identity Verification & Client Acceptance

You agree to complete our identity verification process, including submission of government-issued photo ID, proof of residential address, ownership and control information for every beneficial owner (typically 25% or more, per applicable law), source-of-funds information where required, and any additional information reasonably requested by Gullia Filing or a Licensed Partner. We reserve the right to refuse, delay or terminate service if verification cannot be completed to our reasonable satisfaction, or if continued service would breach our internal risk policy or the policy of a Licensed Partner.

8. Restricted Activities & Prohibited Uses

You may not use the Services, and we may refuse or terminate service, if you:

  • submit false, misleading, incomplete or fraudulent information;
  • use a registered agent, virtual office or entity to facilitate money laundering, terrorist financing, sanctions evasion, tax evasion or any other financial crime;
  • use the address for personal or residential mail, cannabis, adult content, unlicensed pharmaceuticals, unregulated financial services, unlicensed gambling, unlicensed money-services, weapons, or any activity prohibited by the Licensed Partner or applicable law;
  • establish or maintain a nominee, shell or "front" structure designed to conceal the true beneficial owner or controlling person;
  • infringe the intellectual property, privacy, publicity or contractual rights of any person;
  • use the Services to send unsolicited commercial messages, malware, or to probe, scrape or disrupt our systems.

9. High-Risk Industries

Certain industries require additional due diligence, longer onboarding times, higher fees or may be entirely unavailable through a specific Licensed Partner. These include, without limitation, digital assets and virtual asset service providers, precious metals dealers, gambling and gaming, adult content, cannabis and hemp, money-services businesses, unregistered securities offerings and cross-border lending. Gullia Filing may decline any high-risk file at its sole discretion and will refund any unearned Service Fee.

10. Sanctions, Export Controls & PEPs

You represent that you, your beneficial owners and controlling persons are not listed on the US OFAC SDN list, UK HMT sanctions list, EU consolidated list, UN Security Council list, or any equivalent list, and are not resident in, ordinarily located in, or acting on behalf of any person in a comprehensively sanctioned territory (currently Cuba, Iran, North Korea, Syria and the Crimea, Donetsk, Luhansk, Kherson and Zaporizhzhia regions of Ukraine). Politically Exposed Persons may be onboarded only after enhanced due diligence.

11. Fees, Government Charges & Renewals

  • Service Fees are the amounts payable to Gullia Filing for our professional work and are listed in the order summary at checkout.
  • Government and Third-Party Fees (state filing fees, Companies House, CRA, MOA, expedited handling, courier, apostille, notarisation, translation) are pass-through and are non-refundable once submitted or incurred.
  • Recurring services (registered agent, virtual office, annual compliance, bookkeeping) renew automatically until cancelled with at least 30 days' notice prior to the renewal date. We will send a renewal notice at least 30 days before the renewal charge.
  • Prices are quoted in the currency shown at checkout and are exclusive of VAT, sales tax or GST unless expressly stated.

12. Refund Policy & Chargebacks

  • You may request a refund of the Service Fee within 7 days of purchase, provided we have not yet started drafting, signing or submission of your Filing. After work has commenced, the Service Fee is earned in proportion to the work performed and any unearned balance will be refunded.
  • Government and Third-Party Fees paid to an authority or vendor are non-refundable once submitted, even if the authority rejects the Filing for reasons outside our reasonable control (for example, name conflicts, incomplete client information, policy changes by the authority).
  • If a Licensed Partner declines to accept or license your matter, we will refund the Service Fee for that Filing in full.
  • Please contact billing@gulliafiling.com before raising a chargeback. Unjustified chargebacks may result in account suspension and collection of the disputed amount plus reasonable fees.

13. Client Information & Ongoing Obligations

You are solely responsible for the accuracy, completeness and lawfulness of the information you submit, including names, addresses, ownership percentages, identity documents and beneficial ownership declarations. You agree to notify us promptly of any change in beneficial ownership, control, address, business activity or contact information so that we can update filings and screening records. We rely on the information you provide and are not responsible for rejections, penalties or delays caused by incorrect, outdated or incomplete information.

14. Registered Agent & Virtual Office

Where you appoint Gullia Filing (or a Licensed Partner arranged through Gullia Filing) as your registered agent, resident agent, process agent or virtual office provider, we will accept service of process and official correspondence on your behalf and forward it to the address on file. The registered agent address may only be used as the entity's statutory address and, where offered, as a virtual mailing address for legitimate business correspondence. It may not be used as a residential address, for personal mail, or to establish tax residency you are not otherwise entitled to. We may resign as registered agent on 30 days' written notice if fees are unpaid, if identity or beneficial ownership information is not maintained, or if continued service would breach applicable law or Licensed Partner policy.

15. Mail Handling & Service of Process

Standard mail is scanned and forwarded within one business day of receipt. Service of process, tax notices and time-sensitive correspondence are prioritised and forwarded the same business day where possible. We are not responsible for delays caused by postal carriers, government agencies or force-majeure events. Physical mail is retained for 60 days unless a longer retention is agreed in writing.

16. Third-Party Services & Government Agencies

The Services depend on third-party platforms, payment processors and Government Authorities that operate independently of Gullia Filing. We are not responsible for outages, processing times, policy changes, rejections or fees imposed by any third party or Government Authority.

17. Electronic Signatures & Records

You consent to conduct business electronically and agree that electronic signatures, contracts, orders and other records satisfy any legal requirement that these communications be in writing, in accordance with the US ESIGN Act, UETA, the UK Electronic Communications Act 2000, Canada's PIPEDA Part 2 and the UAE Federal Law No. 46 of 2021 on electronic transactions.

18. Intellectual Property

All content, software, trademarks, templates and documentation provided through the Services are owned by Gullia Filing or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use them solely for your internal business purposes. Documents prepared specifically for your entity become yours upon full payment.

19. Acceptable Use of Platform

You agree not to:

  • violate any applicable law, sanction, export control or regulation;
  • file false, misleading or fraudulent information with any Government Authority;
  • circumvent, disable or otherwise interfere with security or authentication features;
  • reverse engineer, scrape or use automated tools to access the Services except via a documented API with our written consent.

20. Confidentiality

Each party will protect the other's non-public business information with the same degree of care it uses to protect its own confidential information, and at minimum with reasonable care. We will not disclose your information except as required to perform the Services, to comply with law, to a Licensed Partner, or as permitted by our Privacy Policy.

21. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, GULLIA FILING DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ANY GOVERNMENT AUTHORITY WILL ACCEPT A PARTICULAR FILING WITHIN A SPECIFIC TIMEFRAME OR AT ALL.

22. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GULLIA FILING'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE SERVICE FEES PAID BY YOU TO GULLIA FILING IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT WILL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST GOODWILL OR LOST DATA. Nothing in these Terms limits liability that cannot lawfully be limited (including for death, personal injury or fraud).

23. Indemnification

You agree to defend, indemnify and hold harmless Gullia Filing, its Licensed Partners, officers, directors, employees and agents from and against any claims, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of (a) your breach of these Terms, (b) the information you submit through the Services, or (c) your violation of any applicable law or third-party right.

24. Suspension, Resignation & Termination

We may suspend or terminate your access to the Services if you breach these Terms, if a Licensed Partner declines to continue serving your matter, if required by law, or if continued provision would expose us or a Licensed Partner to legal, reputational or licensing risk. You may cancel optional recurring services at any time from your account or by contacting support. Sections that by their nature should survive (including fees owed, intellectual property, confidentiality, disclaimers, liability, indemnity and dispute resolution) will survive termination.

25. Complaints & Dispute Escalation

Before starting any formal proceeding, please email legal@gulliafiling.com with a clear description of the issue and your desired resolution. We commit to acknowledge within 5 business days and to work in good faith to resolve the matter within 30 days.

26. Arbitration, Class Waiver & Opt-Out

Any dispute that cannot be resolved informally will be resolved exclusively by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Wilmington, Delaware, and conducted in English. You and Gullia Filing waive any right to a jury trial and any right to participate in a class action, class arbitration or representative proceeding. This clause does not prevent either party from seeking injunctive relief in a court of competent jurisdiction to protect intellectual property or confidentiality rights. You may opt out of this arbitration clause by emailing legal@gulliafiling.com within 30 days of first accepting these Terms with the subject "Arbitration Opt-Out".

27. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. For clients contracting for services in the UK, Canada or the UAE, the mandatory consumer-protection laws of your country of residence continue to apply where they cannot be excluded by contract.

28. Miscellaneous

These Terms, together with the order form, product-page inclusions and any jurisdiction addenda, constitute the entire agreement between you and Gullia Filing regarding the Services. If any provision is held unenforceable, the remaining provisions remain in full force. Failure to enforce any right is not a waiver. You may not assign these Terms without our prior written consent; we may assign them to an affiliate or successor without notice. Nothing in these Terms creates a partnership, employment, franchise or agency relationship between the parties.

29. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified by email or through an in-app notice at least 14 days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
