Get an EIN and open a bank account

Florida issues no separate state tax identification number at formation for most LLCs. The federal EIN from the IRS is what banks and, where relevant, the Department of Revenue will use to identify the business.

Applying for the EIN

Apply on the IRS website at no cost once the Articles of Organization are approved. If the responsible party has a US social security number or ITIN, the number is issued immediately online. Otherwise the application goes in on Form SS-4 by fax or post, which takes longer.

Opening the account

Bring the stamped Articles of Organization, the EIN confirmation letter, your operating agreement and identification for signers and significant owners. Requirements for non-resident owners vary by bank, so confirm ahead of an appointment.

Mixing personal and business funds is the most common reason a court disregards an LLC's liability shield. Keep the accounts separate from day one.

Registering with the Department of Revenue

If you sell taxable goods or certain services, or hire employees, register with the Florida Department of Revenue for sales and use tax or reemployment tax as applicable. This registration is separate from both the EIN and the Sunbiz filing.
