Kentucky lesson 6 of 6
Open a bank account and file your annual report
With formation, the EIN, and tax registration done, the remaining steps are opening a business bank account and keeping up with Kentucky's ongoing annual report.
Opening the account
Bring your certified Articles of Organization, your EIN confirmation letter, an operating agreement if you have one, and identification for signers and significant owners. Route all business income and expenses through this account, since mixing personal and business funds is one of the most common reasons a court disregards an LLC's liability protection.
The annual report
Under KRS 14A.6-010, every Kentucky LLC must file an annual report with the Secretary of State each year, and the deadline is fixed at June 30 for every entity, regardless of when it was formed. The fee is $15, one of the lowest annual report fees among all states.
The Secretary of State mails a reminder notice ahead of the deadline to the registered agent's address on file, but receiving that reminder is not a condition of the filing duty.
If you miss it
An LLC that fails to file its annual report is subject to administrative dissolution by the Secretary of State. A dissolved LLC can generally apply for reinstatement by filing the outstanding reports and fees, but it loses good standing and the protection of its registered name in the meantime.
Because the fee is only $15, it is easy to treat the June 30 deadline as low stakes. Missing it repeatedly still risks dissolution, so file it every year even in a slow year for the business.
Key takeaways
- Keep business and personal funds in separate bank accounts from day one.
- The annual report costs $15 and is due June 30 every year for every Kentucky LLC.
- Missing the annual report can lead to administrative dissolution, though reinstatement is generally available.
Frequently asked questions
Does the Kentucky annual report deadline depend on my formation date?
No. Unlike many states that use an anniversary date, Kentucky fixes the same June 30 deadline for every LLC regardless of when it was formed.
What happens if my Kentucky LLC is dissolved for not filing?
You can generally apply for reinstatement by filing the missing annual reports and fees, but the LLC is not in good standing until the Secretary of State processes the reinstatement.
