Biennial Statement and ongoing compliance

After formation and publication, New York's ongoing state paperwork is light: one $9 filing every two years, plus your tax filings.

The Biennial Statement

Every New York LLC files a Biennial Statement with the Department of State every two years, during the calendar month in which the Articles of Organization were filed. The fee is $9. It updates the address to which the Secretary of State forwards service of process, and confirms the county and the LLC's principal business location.

If you miss it

The LLC's status on the Department of State record moves to past due. That does not dissolve the LLC, but it shows on any status check a bank, lender or counterparty runs, and it can hold up a certificate of good standing when you need one for a transaction or a loan.

Because it is only every two years, the Biennial Statement is the single most commonly forgotten New York filing. Put it in a calendar with a reminder two years out.

The rest of the rhythm

Keep your operating agreement current, which New York law expects LLCs to adopt. File IT-204-LL and any sales tax returns on time. Renew industry licences and any New York City permits. Check FinCEN guidance for federal beneficial ownership reporting, which is separate from anything New York requires.
