Pennsylvania lesson 6 of 6
Stay compliant in Pennsylvania: the new annual report
For years Pennsylvania only asked most LLCs to file a report once every ten years. That changed under a 2022 law, and starting in 2025 most Pennsylvania LLCs owe an annual report instead.
What the annual report replaced
Pennsylvania's old decennial report, filed only once every ten years, has been phased out for the entities now covered by the new requirement. Beginning in 2025, domestic and foreign LLCs, along with several other entity types, must file an Annual Report with the Department of State each year instead.
Fee and deadline
For an LLC the Annual Report fee is $7. It can be filed any time in the filing window each year, and the deadline for LLCs is September 30. Filing late for multiple years running can lead to administrative dissolution or termination of the LLC's registration, so it is worth diarising rather than relying on memory.
The Annual Report is a Department of State filing, separate from any tax return filed with the Department of Revenue.
Keeping the registered office current
Update the registered office or CROP listing whenever it changes. If the LLC sells taxable goods, hires staff, or expands into a new municipality, revisit sales tax, payroll and local business tax registrations as those activities start.
Key takeaways
- Pennsylvania replaced the old once-a-decade report with an annual report starting in 2025.
- The LLC Annual Report fee is $7, due by September 30 each year.
- Repeated missed filings can lead to administrative dissolution.
Frequently asked questions
Do all Pennsylvania LLCs have to file the new Annual Report?
Most domestic and foreign LLCs registered with the Department of State are covered. If you are unsure whether your specific entity type is included, confirm on the Department of State's Annual Reports page before assuming you are exempt.
Is the $7 Annual Report the same as paying Pennsylvania taxes?
No. It is a Department of State filing that keeps the LLC's registration current. Tax filings and payments are handled separately through the Department of Revenue.
