Who should consider a C corporation?

The structure is worth its overhead in a fairly narrow set of situations.

Strong fit

  • You intend to raise venture capital or issue preferred stock
  • You want to grant employee stock options
  • You expect many shareholders, or shareholders in other countries
  • You plan to retain and reinvest profits rather than distribute them
  • You are building towards an acquisition or public listing

Weaker fit

  • A small owner-operated business that distributes most profit each year
  • A property holding company
  • A freelancer or consultant with no investors
