Name your California LLC
California will reject your Articles of Organization if the name clashes with a name already on the register or breaks the naming rules, and a rejection costs you the whole processing queue again. Five minutes of checking here saves a fortnight.
What the name must contain
A California LLC name has to end with wording that tells the public it is a limited liability company. The Secretary of State accepts Limited Liability Company, or the abbreviations LLC or L.L.C. The words Limited and Company may themselves be shortened to Ltd and Co.
- Acceptable: Nova Ventures LLC, Nova Ventures L.L.C., Nova Ventures Limited Liability Company
- Not acceptable: a name that suggests a different structure, such as Inc, Corporation or Incorporated
- Not acceptable: a name that would mislead the public about what the business does
Restricted and prohibited words
Some words cannot be used at all in an LLC name, and others need approval from the regulator that oversees that field. Bank, trust, trustee, incorporated, insurer and similar terms are the common blockers. California also does not allow an LLC to be formed to provide a professional service that requires a state licence, which is why doctors, lawyers, architects and accountants in California use a professional corporation rather than an LLC.
