Colorado's only recurring filing with the Secretary of State is the Periodic Report. It is inexpensive, but the anniversary-month timing catches people who expect a fixed calendar deadline.
When it is due
The Periodic Report is due each year during the three-month window that includes your LLC's anniversary month of formation, rather than on a fixed date shared by every business in the state. The Secretary of State sends email and text reminders if you sign up for them, since there is no printed renewal notice by default.
Fee and what it covers
The filing fee is $25, up from $10 before July 1, 2024, when the legislature required the Department of State to help cover county election reimbursement costs. The report confirms the entity name, jurisdiction, registered agent name and address, and principal office address; it does not let you change the name itself.
Missing the filing window leads to noncompliant status, and eventually administrative dissolution if it stays unresolved. A late filing penalty of $50 applies once the report is overdue.

Beyond the Periodic Report, update the Secretary of State whenever your registered agent or principal address changes, and renew any city or county licences on their own separate schedules.
