Colorado lesson 2 of 6
Appoint your Colorado registered agent
Every Colorado LLC must continuously maintain a registered agent with a Colorado street address. The rules around who qualifies tightened in 2025.
Who can act as agent
The agent can be an individual resident in Colorado or an entity eligible to act as a registered agent, with a physical Colorado street address where documents can be delivered. A PO box alone is not acceptable as the registered agent address.
The residency verification change
Colorado law changed in 2024, and from July 1, 2025 an individual designated as registered agent must confirm Colorado residency, either by providing a current, valid Colorado driver's licence or state identification card, or by completing the Secretary of State's alternative address verification process. Entities named as registered agent also have eligibility requirements to meet under the same change.
This was introduced to cut down on registered agent listings that were not genuinely reachable in Colorado. Confirm your agent still qualifies if they were appointed before the change.
Key takeaways
- The registered agent needs a physical Colorado street address, not a PO box.
- From July 1, 2025, individual agents must verify Colorado residency.
- Update the Secretary of State promptly whenever the agent or address changes.
