Connecticut's ongoing filing is the Annual Report, due every year to the Secretary of the State and priced at $80, filed online only.

What is due and when

Every Connecticut LLC must file an Annual Report each year between January 1 and March 31, confirming its principal office address, registered agent, and key people, with an $80 fee. The filing has to be submitted online through your Business.CT.gov account; paper Annual Reports are not accepted the way the original Certificate of Organization can be.

Older records may still reference the separate Business Entity Tax, a flat $250 charge that used to be due every other year on top of the Annual Report. That tax was repealed for tax years beginning on or after January 1, 2020, so a current Connecticut LLC only owes the $80 Annual Report fee at the state level, not the old $250 charge.

If you miss it

Continued failure to file the Annual Report can lead to administrative dissolution by the Secretary of the State. A non-compliant LLC also is not in good standing in the meantime, which can affect financing, contracts, and expansion into other states before dissolution is ever entered.

Because the Annual Report window opens January 1 and closes March 31, filing early in the window avoids the same late scramble that catches LLCs which wait until the last week of March.
