The Florida annual report and staying compliant
Florida's ongoing paperwork is a single annual report, but the penalty for missing the deadline is one of the sharpest of any state.
The annual report
Every Florida LLC files an annual report with Sunbiz to confirm or update its registered agent, principal address and management information. It is due every year between January 1 and May 1, and the fee is $138.75.
The late fee
Miss May 1 and Sunbiz adds a flat $400 late fee, taking the total to $538.75, regardless of how many days late the report is filed. It is not prorated for lateness within the year.
There is no grace period. A report filed on May 2 costs the same $400 penalty as one filed in September.
If the LLC is administratively dissolved
Under Florida Statutes s. 605.0715, an LLC that is administratively dissolved for failing to file its annual report can apply for reinstatement. The application is filed online through Sunbiz along with any outstanding annual reports and fees; reinstatement is generally available within ten years of dissolution.
