Appoint your Kentucky registered agent
Every Kentucky LLC must continuously maintain a registered agent and registered office in the state, named in the Articles of Organization at formation.
Who can serve
Under KRS 275.105, the registered agent must be a Kentucky resident with a business office identical to the registered office, or a corporation, LLC, or other entity authorized to transact business in Kentucky. A PO box does not satisfy the registered office requirement; it must be a physical street address.
What the agent does
The registered agent receives service of process, official mail from the Secretary of State, and tax correspondence from the Department of Revenue on the LLC's behalf. Because the registered agent is the state's official point of contact, an outdated or unreachable agent can mean the LLC misses notice of a lawsuit or an annual report deadline entirely.
The registered agent's name and address are public record. Owners who do not want a home address searchable often use a commercial registered agent service instead.
Changing the agent
File a statement of change of registered agent or registered office with the Secretary of State whenever either one changes. Keeping this current also protects your standing ahead of the annual report, since the Secretary of State mails the annual report notice to the address on file.
