File the Maryland annual report and personal property return
Every Maryland LLC files one combined annual document with SDAT: the Annual Report and Business Personal Property Return, known as Form 1. It carries a $300 fee and is due every year on April 15.
What Form 1 covers
Form 1 confirms your LLC's basic information, including its resident agent and principal office, and reports any personal property the business owns in Maryland such as furniture, equipment or fixtures. The $300 fee applies to domestic and foreign LLCs alike, regardless of whether the business owns any taxable personal property.
The April 15 deadline
Form 1 is due April 15 every year, whether filed on paper with SDAT's Business Services Unit in Baltimore or online through Maryland Business Express. Filing online is generally faster and reduces the chance of processing delays around the deadline.
Missing the deadline triggers a late penalty of a tenth of one percent of Maryland assessments per month, plus interest, and can eventually put the LLC out of good standing with SDAT.
Staying in good standing
An LLC that falls out of good standing loses the right to conduct business in Maryland courts and can eventually be forfeited. Reinstatement is possible by filing the missing reports, paying outstanding fees and penalties, and requesting reinstatement through SDAT.
