Missouri lesson 6 of 6

Stay compliant in Missouri

Missouri keeps state-level paperwork about as light as it gets for an LLC. There is no annual or biennial report to file with the Secretary of State, so most of the ongoing work is keeping your own records straight rather than filing with the state.

No annual report

Unlike most states, Missouri does not require a domestic LLC to file a recurring report with the Secretary of State to stay in good standing. That does not remove other obligations: certain amendments to the Articles of Organization must still be filed when they happen, and the registered agent and office must be kept accurate at all times.

  • No annual or biennial report fee to the Secretary of State
  • Registered agent and office must be kept current whenever they change
  • Amendments to the Articles are filed as they occur, not on a yearly schedule

What still recurs

Sales tax returns, employer withholding filings and any industry-specific or local licence renewals follow their own schedules with the Department of Revenue and local government, even though the Secretary of State does not ask for anything annually.

Because there is no annual report to remind you to check your paperwork, it is worth reviewing your registered agent and operating agreement on your own schedule, such as once a year.

Key takeaways

  • There is no annual or biennial report fee to the Missouri Secretary of State.
  • Keep the registered agent and office updated whenever they change.
  • Sales tax, withholding and local licence renewals still follow their own schedules.
