Nevada lesson 6 of 6

File the annual list and renew the State Business License

The same bundle you filed at formation comes back every year. Nevada calls it the annual list, and it is filed with the State Business License renewal in one transaction.

What is due and when

Every Nevada LLC files an annual list of managers or managing members, currently $150, together with the State Business License renewal, currently $200, for a combined $350 due by the last day of the month marking the anniversary of formation. Both are filed with the Secretary of State, most easily through SilverFlume.

Penalties and reinstatement

A late filing carries a penalty on top of the fee, and an LLC that continues to ignore the deadline risks being placed in default and eventually revoked by the Secretary of State. Reinstating a revoked Nevada LLC means paying back fees, the penalty, and a reinstatement fee, and can take longer than simply filing on time.

Set a reminder for your formation anniversary month. Nevada's Secretary of State sends renewal notices, but responsibility for filing on time sits with the LLC, not the agency.

Key takeaways

  • The annual list and licence renewal together cost $350 a year.
  • Both are due by the last day of the LLC's anniversary month.
  • Missing repeated deadlines can lead to revocation, which is more costly to fix than filing on time.

Frequently asked questions

Can I file the annual list without renewing the State Business License?

No. Nevada requires both to be filed together each year, in the same way they are required together at formation.
