Tennessee lesson 1 of 6

Name your Tennessee LLC

A name clash is a common reason a Tennessee filing bounces back. Since the state fee is calculated per member and can run into hundreds of dollars, it is worth checking availability before you submit.

Required wording

Under Tennessee Code Section 48-249-106, a limited liability company name must contain the words Limited Liability Company or an abbreviation such as LLC or L.L.C.

  • Acceptable: Smoky Mountain Ventures LLC, Smoky Mountain Ventures L.L.C.
  • Not acceptable: wording that implies a bank, trust, or a corporation without the required approval

Checking availability

Search the Secretary of State's business information search before filing. Tennessee applies a distinguishable name standard rather than requiring an exact match, so small changes in punctuation or a designator alone are unlikely to clear a similar existing name.

If you are not ready to file the Articles of Organization yet, Tennessee allows a name reservation for a filing fee, which is separate from the LLC formation fee itself.

Free Name Availability Check

🇺🇸 Check United States company name availability

Search the official United States state registry before you file. Opens the government portal in a new tab.

Tip: also confirm the .com domain and matching social handles are free before you commit.

Key takeaways

  • The name must include Limited Liability Company or an accepted abbreviation.
  • Tennessee applies a distinguishable standard, not just an exact-match check.
  • A separate reservation filing can hold a name before you file the Articles.
