Appoint your Texas registered agent
Every Texas LLC must continuously maintain a registered agent and a registered office in the state. This is where lawsuits and official notices are delivered.
Who can act as agent
The agent is either an individual who lives in Texas or an organisation registered to do business in Texas. Either way the registered office must be a physical Texas street address where someone can be found during normal business hours. A PO box does not satisfy the requirement, and the LLC cannot serve as its own agent.
The consent requirement
Texas is stricter than most states here. The person or company named must have consented to the appointment in writing before, or at the time of, the filing. The consent does not have to be filed with the Certificate of Formation, but it must exist and be kept with your records. Naming someone without asking them is a false filing.
The registered office address is public and searchable. If that address is your home, expect it to stay findable long after you move.
Changing agent later
Agents change. A change of registered agent or office is filed on Form 401 with the Secretary of State for a small fee. Do it promptly, because service delivered to a stale address still counts as service on your LLC.
