Utah lesson 4 of 6
Get an EIN and register with the Tax Commission
Your EIN identifies the LLC to the IRS and to banks. Utah's own tax registration is a separate step, handled through the State Tax Commission.
Applying for the EIN
Apply directly on the IRS website once your Certificate of Organization is approved. There is no charge. If the responsible party has a US social security number or ITIN, the EIN is issued immediately online; otherwise the application goes in on Form SS-4 by fax or mail, which takes longer.
Registering with the Utah State Tax Commission
If you will sell taxable goods or services, or have employees, register separately with the Utah State Tax Commission using its combined business registration process. This is where you set up a sales and use tax account, and where you register for employer withholding if you hire staff.
Opening the bank account
Bring the confirmed Certificate of Organization, the EIN confirmation letter, an operating agreement if you have one, and identification for signers and significant owners. Route all business income and expenses through this account; mixing personal and business funds is one of the fastest ways to undermine the liability protection an LLC is meant to provide.
Key takeaways
- The EIN is free and comes from the IRS.
- Tax Commission registration is separate from the EIN and needed for sales tax or employer withholding.
- Keep business and personal funds in separate accounts from day one.
