Appoint your Vermont registered agent
Every Vermont LLC, domestic or foreign, must continuously maintain a registered agent and registered office in the state for as long as it is registered.
Who can serve
The registered agent must be a Vermont resident individual, or a business organization with a place of business in Vermont that is authorized to do business there. The registered office must be an actual Vermont street address, not merely a mailbox.
What the agent does
The registered agent accepts legal service of process and other official notices on the LLC's behalf, including reminders from the Secretary of State about the annual report.
The registered agent's name and address are public record and appear on your Articles of Organization and later filings in the Secretary of State's online business database.
Changing the agent
File a statement of change with the Business Services Division if the registered agent or registered office changes. Letting the registered agent lapse puts the LLC at risk of losing good standing.
