Filing the Articles of Incorporation
The articles are short but consequential, particularly the share provisions.
Typical contents
- Corporate name with designator
- Registered agent and registered office in the state
- Number of authorised shares and, where used, par value
- Share classes if more than one is being created at formation
- Incorporator name, address and signature
- Principal office address and, in some states, initial directors
The incorporator
The incorporator is the person who signs and submits the filing. Their job usually ends once initial directors are appointed, which happens either in the articles or by a written incorporator consent.
Authorised shares are a ceiling, not an obligation. Authorising a sensible number leaves room for future issuance without inflating franchise tax in states that price on share count.
