Florida lesson 2 of 6

Appoint your Florida registered agent

Every Florida LLC must continuously maintain a registered agent under Florida Statutes s. 605.0113, and the agent's written acceptance is filed with the state.

Who can serve

The agent is either a Florida resident individual or a business entity authorised to do business in Florida, with a physical Florida street address. A PO box does not satisfy the requirement, and the agent must sign or otherwise accept the appointment.

Cost and the public address

Sunbiz charges a $25 registered agent designation fee as part of the $125 total cost of forming a new Florida LLC, alongside the $100 filing fee. The agent's street address becomes part of the public record, which is the main reason owners who work from home use a commercial agent instead.

Changing agents later is a separate Sunbiz filing with its own fee, listed on the Division of Corporations fee schedule.

Key takeaways

  • A Florida street address is mandatory; PO boxes are refused.
  • The $25 registered agent fee is part of the $125 total to form.
  • The agent's address is public record on Sunbiz.
