Appoint your Illinois registered agent
Every Illinois LLC must continuously maintain a registered agent and registered office in the state. This is the address the Secretary of State and courts use to deliver official notices, including the annual report reminder.
Who can act as agent
The registered agent is either an Illinois resident individual or another entity authorised to transact business in Illinois. The registered office must be a physical Illinois street address, not a PO box, and someone must be reachable there during business hours. The LLC itself cannot act as its own registered agent, though an organiser, member, manager or employee can serve if they independently meet the requirements.
Keeping the address current
The Secretary of State mails the annual report notice to the registered agent's address, so a stale address can mean a missed report and the penalties that follow. Update the registered agent or office promptly whenever either changes.
The registered agent's address is on the public record, which is why some owners appoint a commercial agent rather than list a home address.
