Michigan lesson 6 of 6

File the Michigan Annual Statement

Michigan's ongoing filing is the Annual Statement, due every year to LARA and priced at only $25, one of the lowest such fees in the country.

What is due and when

Every Michigan LLC must file an Annual Statement each year, starting the year after formation, with a $25 fee. The deadline is February 15. An LLC formed after September 30 of a year is not required to file an Annual Statement for the following February 15, since not enough time has passed since formation.

LARA mails or emails a pre-printed Annual Statement form in advance of the deadline confirming the resident agent and registered office on file, but receiving that reminder is not a condition of the filing duty.

If you miss it

Under the Michigan Limited Liability Company Act, an LLC that fails to file its Annual Statement for two consecutive years is subject to automatic dissolution by LARA. A dissolved LLC can apply for restoration by filing the outstanding statements and fees, but it loses good standing and the protection of its name in the meantime.

Because the penalty period runs in years rather than months, it is easy to assume a missed February 15 deadline is low risk. Treat it the same as any other statutory deadline and file on time.

Key takeaways

  • The Annual Statement costs $25 and is due February 15 every year.
  • LLCs formed after September 30 skip the following February's filing.
  • Two consecutive missed years can lead to automatic dissolution, though restoration is available.

Frequently asked questions

Do I need to file an Annual Statement in my first year?

No. The requirement starts the year after formation, and if you formed after September 30 you also skip the next February 15 filing.

What happens if my Michigan LLC is dissolved for not filing?

You can generally apply for restoration by filing the missing Annual Statements and fees, but the LLC is not in good standing until LARA processes the restoration.
