Appoint your Michigan resident agent
Every Michigan LLC must name a resident agent and registered office in its Articles of Organization, and keep both current for as long as the LLC exists.
Who can serve
The resident agent must be a Michigan resident, a Michigan corporation or LLC, or a foreign corporation or foreign LLC that holds a certificate of authority to transact business in Michigan. The resident agent's business address becomes the LLC's registered office.
What the agent does
The resident agent receives service of process, notices and demands on the LLC's behalf. Michigan law also allows the state to serve process by mail on the LLC if the resident agent cannot be found with reasonable diligence, so keeping the appointment current is not optional.
The registered office address is on the public record. A residential address used as the registered office stays searchable for as long as it appears on file.
Changing the agent
A change of resident agent or registered office is filed on Form 520, the Certificate of Change of Registered Office/Resident Agent. File it promptly whenever your agent or address changes.
