Name your Minnesota LLC

The Secretary of State will reject Articles of Organization that are not distinguishable from a name already on the Minnesota business register. Search first, because a rejected online filing still costs you the processing fee.

Required wording

A Minnesota LLC name must contain the words Limited Liability Company or an abbreviation such as LLC or L.L.C. Minnesota does not require the words to be spelled out in full as long as an accepted abbreviation appears.

  • Acceptable: North Star Freight LLC, North Star Freight, L.L.C.
  • Not acceptable: a name implying a corporation, bank or government agency without the required approval

Checking availability

Search the Secretary of State's online business name database before filing. Minnesota compares names for whether they are distinguishable on the record, not simply whether they are an exact match, so minor punctuation changes usually will not clear a conflict.

If you plan to trade under a different name from your LLC's registered name, that is a separate assumed name (DBA) filing with the Secretary of State, not something covered by the Articles of Organization.
