North Dakota lesson 6 of 6

Open a bank account and file your annual report

Once your North Dakota LLC is formed, two things keep it in good standing: a properly separated bank account and the annual report filed with the Secretary of State every year by November 15.

Opening the account

Bring your confirmed Articles of Organization, EIN confirmation letter, an operating agreement if you have adopted one, and identification for signers and significant owners. Keep business income and expenses in this account rather than mixing them with personal funds.

Filing the annual report

Every North Dakota LLC must file an annual report with the Secretary of State each year, due November 15, a later deadline than most states use for their equivalent filing. The fee is $50, filed most conveniently through FirstStop, and it confirms or updates the registered agent, registered office and basic entity information on file.

Because the deadline falls in November rather than around the anniversary of formation or a tax-season date, it is easy to lose track of it. Set a reminder well ahead of November 15 each year.

If you miss it

Filing after November 15 triggers a $50 late fee in addition to the $50 report fee, for $100 total. Continued failure to file can lead to administrative dissolution by the Secretary of State. A dissolved LLC can generally apply for reinstatement by filing the outstanding reports and fees, but it loses good standing and the protection of its name in the meantime.

Key takeaways

  • Keep a dedicated business bank account separate from personal funds.
  • The annual report costs $50 and is due November 15 every year.
  • Filing late adds a $50 penalty, and continued non-filing risks administrative dissolution.
