Name your Oregon LLC

The Oregon Business Registry checks name availability during the online filing, so a conflict is usually caught before you pay the $100 fee rather than after.

Required wording

Under ORS 63.094, an Oregon LLC name must contain the words limited liability company or an abbreviation such as LLC or L.L.C. Limited may be abbreviated as Ltd. and Company as Co.

  • Acceptable: Cascade Timber Works LLC, Cascade Timber Works L.L.C.
  • Not acceptable: wording that implies a bank, a corporation, or a government agency without the required approval
  • Some regulated words may require approval from the relevant Oregon board before use

Checking availability and reserving a name

Search the Secretary of State's business name database before filing, since Oregon applies a distinguishable-on-the-record standard where small punctuation or spacing changes are usually not enough to separate your name from an existing one.

If you are not ready to file yet, you can reserve a name with the Secretary of State to hold it while you prepare your Articles of Organization.

If you plan to trade under a name different from the one in your Articles of Organization, that is an assumed business name in Oregon, filed as its own registration and renewed every two years, separately from your LLC's annual report.
