Appoint your Oregon registered agent
Every Oregon LLC must continuously maintain a registered agent and registered office in the state, named on the Articles of Organization at formation.
Who can serve
Under ORS 63.074, the registered agent must be an individual Oregon resident whose business office is the registered office, or a domestic or foreign entity authorized to do business in Oregon. The registered office must be a physical street address in Oregon; a PO box alone does not satisfy the requirement.
What the agent does
The registered agent receives service of process, official notices from the Secretary of State, and correspondence from the Department of Revenue on the LLC's behalf. Since the annual report reminder is mailed to the registered agent's address roughly 45 days before it is due, an outdated agent address is one of the most common reasons an LLC misses its renewal.
The registered agent's name and address are public record, which is why many Oregon owners who work from home use a commercial registered agent service instead of their own address.
Changing the agent
File a change of registered agent or registered office with the Secretary of State through the Oregon Business Registry whenever either one changes, so state notices and the annual report reminder reach the right address.
