Name your Utah LLC
The Division of Corporations will reject a Certificate of Organization if the name is not distinguishable from one already on record, so it pays to search before you draft anything else.
Required wording
A Utah LLC name must contain the words limited liability company or limited company, or the abbreviation L.L.C., LLC, L.C., or LC. Limited may be shortened to Ltd. and company to Co.
- Acceptable: Wasatch Outfitters LLC, Wasatch Outfitters L.C.
- Not acceptable: wording implying a bank, insurance company, or government agency without the relevant approval
- Certain regulated terms need sign-off from the licensing board that governs that industry before the Division will accept the name
Checking availability and reserving a name
Search the Division's Name Availability Search before you file anything. Utah applies a distinguishable-on-the-record standard, so small changes in spacing, punctuation, or a generic designator are often not enough to separate your name from one already registered.
If you are not ready to file the Certificate of Organization yet, you can reserve the name with the Division to hold it while you finish preparing your paperwork.
Operating under a name different from the one on your Certificate of Organization is a doing-business-as name in Utah, and that is a separate filing from the entity name itself.
