Virginia is unusual in that it does not require an annual report listing your LLC's officers or addresses. Instead there is a flat annual registration fee, and missing it puts the LLC at risk of automatic cancellation.

How the fee works

Every domestic and foreign LLC registered in Virginia owes a $50 annual registration fee to the SCC, assessed under Code of Virginia § 13.1-1062. It is due by the last day of the month in which the LLC was formed, every year, and it is not tied to filing any information report; you are simply paying to stay on the register.

Missing the deadline

The SCC assesses a $25 penalty for a late payment. If the fee and penalty remain unpaid, the SCC can automatically cancel the LLC's existence, generally around three months after the fee becomes overdue.

Pay online through the Clerk's Information System. There is no processing fee for online payments, and the SCC's own guidance recommends it over mailing a check.

Keeping the registered agent current and reinstating if cancelled

Update the registered agent or registered office through CIS whenever either changes. If an LLC is cancelled for non-payment, it can generally be reinstated by filing the required application, paying the outstanding fees and penalties, and confirming an active registered agent.
