Should you actually form in Wyoming?

Wyoming is marketed hard as the best state to form in. For some businesses it truly is. For others it doubles the compliance work. This lesson gives you the test before you spend anything.

The home state rule

States charge based on where you do business, not where you filed. If you live and operate in, say, California or New York, forming in Wyoming does not remove your home state obligations. You would register the Wyoming LLC as a foreign LLC at home, pay that state's fees and taxes anyway, and add a Wyoming registered agent and annual report on top.

Rule of thumb: if you have staff, premises or regular customers in one state, form there. Wyoming is not a way out of that state's tax.

Where Wyoming genuinely fits

Wyoming works well for businesses with no fixed physical presence anywhere: online businesses, holding companies for intellectual property or real estate held through subsidiaries, and non-resident owners with no US operating footprint.
