Wyoming lesson 6 of 6
The annual report and licence tax
Wyoming's one recurring state obligation is the annual report, which carries a licence tax rather than a flat fee.
How the tax is calculated
The annual report licence tax is the greater of $60 or two tenths of one mill on the dollar, which is $0.0002, based on the value of assets located and employed in Wyoming. For most LLCs with no Wyoming property, the minimum $60 applies. Companies with substantial Wyoming assets should work through the Secretary of State's worksheet rules rather than assuming the minimum.
When it is due
The report is due on the first day of the anniversary month of formation, every year. It is filed online through WyoBiz, and if the licence tax is at the minimum the filing can usually be completed and paid in a few minutes.
Fail to file and Wyoming can administratively dissolve the LLC. Reinstatement is possible but costs a reinstatement fee plus the outstanding tax.
Everything else
Keep the registered agent current, keep the operating agreement and member ledger up to date internally, and check federal beneficial ownership reporting requirements with FinCEN, since those rules are federal and have changed in scope.
Key takeaways
- Minimum $60 a year, due on the first day of the anniversary month.
- The tax scales only with assets located and employed in Wyoming.
- Non-filing leads to administrative dissolution.
Frequently asked questions
Is the Wyoming annual report the same as a tax return?
No. It is a state filing with a licence tax attached. Your federal return is separate and unaffected by it.
What if my LLC had no activity?
The annual report is still due, and the $60 minimum still applies. Dormancy is not an exemption.
