LLC structure examples

Single-member LLC

One owner. Disregarded for federal tax by default, so profit flows onto Schedule C. Example: a freelance designer trading as Rowan Design Works LLC.

Multi-member LLC

Two or more owners. Taxed as a partnership by default, files Form 1065 and issues K-1s. Example: two founders splitting a consulting practice 60/40.

Manager-managed LLC

Members appoint a manager to run daily operations. Common for passive investors in real estate deals.

Series LLC

One parent LLC with protected series, each holding separate assets. Available in Delaware, Texas, Illinois, Nevada and a handful of others.

PLLC

Professional LLC for licensed professionals such as therapists, dentists and architects, where state law bars a standard LLC.

LLC taxed as an S-Corp

An LLC that files Form 2553 to reduce self-employment tax once profit reliably exceeds a reasonable salary.

Naming rules every example follows

  • Designator required. LLC, L.L.C. or Limited Liability Company must appear in the legal name.
  • Distinguishable. The name cannot duplicate an existing entity in that state's registry.
  • Restricted words. Bank, trust, insurance, university and similar words need regulator approval.
  • Professional practices. Licensed fields often require PLLC instead of LLC.
  • Trademark check. State approval is not trademark clearance; search the USPTO before printing anything.
  • DBA option. Register a trade name to market under a shorter brand while keeping the LLC as the contracting entity.
