Minnesota lesson 3 of 6
File the Articles of Organization
Minnesota's Articles of Organization form is short, but the fee depends entirely on how you file it.
What the Articles ask for
The form covers the LLC's name, its registered office address in Minnesota, the name of the registered agent if one is appointed, and the name and address of at least one organizer.
Fee and filing route
Filing online or in person costs $155 and is treated as expedited, meaning it is processed immediately or while you wait. Filing by mail costs less at $135, but the Secretary of State processes mailed filings non-expedited, on a first in, first out basis, which can take considerably longer than the same-day online route.
There is no separate optional expedite fee in Minnesota the way some states charge one on top of a base fee. The $155 online or in-person price already buys you immediate processing; the $135 mail price is simply slower.
After approval
Keep a copy of the filed Articles of Organization for your bank and future filings. Minnesota does not require an operating agreement to be filed, but drafting one is still how you set out ownership, voting and profit shares among members.
Key takeaways
- Online or in-person filing costs $155 and is processed immediately.
- Mail filing costs $135 but is processed non-expedited.
- An operating agreement is not filed with the state but is still worth drafting.
Frequently asked questions
Is there a faster paid expedite option beyond the standard fees?
The $155 online or in-person fee already delivers immediate processing. There is no additional rush fee layered on top of it.
Do I need to live in Minnesota to form a Minnesota LLC?
No. There is no residency requirement for members or organizers, but the registered office must be a Minnesota street address.
