Get an EIN and open a bank account

Minnesota does not issue your federal tax number. Your EIN comes from the IRS, and it is what banks and the Department of Revenue use to identify your LLC once you register for state taxes.

Applying for the EIN

Apply on the IRS site once your Articles of Organization are filed. It is free. If the responsible party has a US social security number or ITIN, the number is issued immediately online. Otherwise the application goes in on Form SS-4 by fax or post.

Opening the account

Bring the filed Articles of Organization, the EIN confirmation letter, your operating agreement, and identification for signers and significant owners. Ask your bank directly about requirements for owners who are not US residents.

Mixing personal and business funds is the single most common reason a court disregards an LLC's liability shield. Keep one clean line between the two accounts.

Register for a Minnesota Tax ID

Before making taxable sales or hiring employees in Minnesota, register separately with the Department of Revenue for a Minnesota Tax ID Number, which is distinct from your federal EIN. This is required if you make taxable sales or leases, perform taxable services, withhold Minnesota income tax from employees, or make estimated business tax payments.
