Nevada lesson 3 of 6
File the Articles of Organization, initial list and business licence
Nevada's Secretary of State will not process a bare Articles of Organization. State law requires the initial list of managers or managing members and the State Business License to be filed at the same time, which is why the real cost of forming a Nevada LLC is higher than the headline filing fee suggests.
What gets filed together
The Articles of Organization cost $75 and set out the LLC's name, registered agent, and, if the company chooses to disclose it, management structure. Nevada law separately requires an initial list of managers or managing members, filed with the Articles for $150. On top of that, the State Business License, administered by the Secretary of State under Chapter 76 of the Nevada Revised Statutes, costs $200.
Add the three together and a standard Nevada LLC formation runs $425 in state fees before any registered agent service or expedite charge.
- Articles of Organization: $75
- Initial list of managers or managing members: $150
- State Business License: $200
Filing through SilverFlume
SilverFlume is the state's online portal and handles the whole bundle in one session. Paper filings are accepted by mail or in person in Carson City or Las Vegas, but online filing avoids mailing delays and lets you pay the combined fee in one transaction.
Some businesses qualify for an exemption from the State Business License, such as certain nonprofits and sole proprietorships below a revenue threshold. Most LLCs do not qualify and should budget for the full $200.
Key takeaways
- Nevada requires the Articles, the initial list and the State Business License together, totalling $425 in state fees.
- SilverFlume files the whole bundle in one online session.
- Confirm with the Secretary of State if you believe your LLC may be exempt from the business licence.
Frequently asked questions
Can I file just the Articles of Organization and add the list and licence later?
No. Nevada law requires the initial list and the State Business License to be filed with, or immediately after, the Articles of Organization. The Secretary of State will not treat the LLC as in good standing without them.
